Private beta — non-binding demo records only.

The law Habi has to live inside, and exactly where we stand in it.

This page names the Israeli statutes that govern a platform like this one, links their official text, and states plainly what Habi is and is not permitted to do today. It is written to be checked, not to reassure.

Jurisdiction

Israel

Built for Israeli law and Israeli users first.

Stage

Private beta

Research and education software. Nothing is offered for sale.

Client funds held

None

No payments, no escrow, no custody, no distributions.

Licence held

None

Regulated activity stays switched off until counsel clears it.

Read this before anything else

Habi holds no financial licence and has no registration, permit or approval from the Israel Securities Authority, the Privacy Protection Authority, or any other regulator in Israel or abroad. No authority has reviewed this platform or endorsed anything on it.

The laws cited below are cited because they apply to this field — that is a statement about the law, never a statement that a regulator has blessed Habi. Where an official source could be verified it is linked, so you can read the text yourself rather than take our summary of it.

True today

  • Habi is software you can read, browse and learn from. Every opportunity you see is demo data used to design the product.
  • Every investment-shaped action is recorded as a non-binding demo intent. It creates no obligation for you and none for us.
  • Your personal data is processed under a published privacy policy, with defined retention windows and a deletion path.
  • The transactional parts of the platform are disabled at the server level, not merely hidden in the interface.

Not true today

  • Habi holds no licence, permit or registration from any Israeli or foreign financial regulator.
  • No authority has reviewed, approved or endorsed this platform, its content, or the structure described on it.
  • Nothing here is an offer of securities, a prospectus, a solicitation, or personal investment, tax or legal advice.
  • No SPV has been formed for a live offering, no trustee or escrow agent has been appointed, and no offering documents exist.

Policy documents

The four documents that govern your use of the private beta.

The Israeli legal framework

Seven bodies of law shape what a fractional real-estate platform may do in Israel. Each card names the statute, says what it actually governs, and states what it means for Habi in its current state.

Securities Law, 5728-1968

When an offer of securities counts as an offer to the public, and therefore requires a prospectus approved by the Israel Securities Authority.

Section 15A sets out the offers that are not treated as offers to the public. The route relevant to Habi is the limited private placement: an offer to no more than 35 offerees in any twelve-month period. Two details decide everything. First, the law counts offers, not sales — showing specific deal terms to someone consumes the quota even if they never participate. Second, investors who meet the criteria in the law's First Schedule are excluded from that count. Offerors must be able to document who was offered what, and when.

For Habi: This is why public pages here stay educational and why no specific deal terms are shown to the general public.

Regulation of Investment Advice, Investment Marketing and Investment Portfolio Management Law, 5755-1995

Who may advise on or market investments in securities and financial assets, and when a licence is required.

The law reaches advice given indirectly as well as directly, including through advertising, circulars and other published material. It is not limited to one-to-one conversations, which is precisely why a website can fall inside it.

For Habi: Habi holds no licence under this law. Content on the platform is educational and general. It never tells a specific person that a specific investment suits them, and the AI analyst is bounded the same way.

Companies Law, 5759-1999

Formation, share capital, governance, directors' duties and shareholder rights of Israeli companies.

The planned structure puts each property in its own Israeli private company, so that one asset's liabilities cannot reach another's. Participants would hold registered shares in that single company, and the relationship between them would be set by its articles and a shareholders' agreement.

For Habi: Described as a design, not as a fact. No such company has been formed for a live offering.

Privacy Protection Law, 5741-1981, as amended by Amendment 13

Processing of personal data in Israel: controller duties, the rights of the people in a database, data security, and the Privacy Protection Authority's enforcement powers.

Amendment 13 came into force on 14 August 2025 and substantially widened the regime — sharper definitions, stronger enforcement and administrative penalties, and an obligation on certain controllers to appoint a data protection officer. The Privacy Protection (Data Security) Regulations, 5777-2017, sit underneath it and set concrete security duties by database risk level.

For Habi: Habi is the controller of the data you give it. Where a visitor is in the EU, GDPR rights are honoured alongside Israeli law.

gov.il — unofficial English translation (PDF)

Prohibition on Money Laundering Law, 5760-2000

Identification, record-keeping and reporting duties imposed on defined categories of financial businesses.

These duties attach to activity, and the activity that triggers them — accepting funds, holding accounts, moving money — does not exist here. That is a statement about what the platform does today, not a claim of exemption.

For Habi: Before any funds move, a regulated identity and screening provider has to be in place. See the compliance page for the full posture.

gov.il — English translation (PDF)

Consumer Protection Law, 5741-1981

Misleading representations to consumers, disclosure duties, and unfair practices in marketing a service.

A representation can mislead by omission as much as by statement. Showing an attractive return without the fees, the risk and the illiquidity next to it is the classic failure mode for a platform like this one.

For Habi: Return figures on Habi are always labelled as targets, never promises, and always appear with fees, risk and hold period in the same view.

Equal Rights for Persons with Disabilities Law, 5758-1998, and Israeli Standard SI 5568

Accessibility of a service to people with disabilities, including the accessibility of an internet service.

SI 5568 adopts WCAG 2.0 at level AA as the Israeli baseline for website accessibility. It is the standard this interface is built against: keyboard operation, semantic structure, visible focus, and colour contrast checked against real surfaces rather than assumed.

For Habi: A full external accessibility audit and a named accessibility coordinator are still required before public launch.

Summaries above are written in plain language and are necessarily incomplete. English versions of Israeli legislation are translations; the Hebrew text is the binding one. Nothing here is legal advice.

What has to be true before anything real happens

Six gates stand between this beta and a single shekel changing hands. None of them is complete. They are listed so you can ask us about them, and so the list cannot quietly shrink.

  1. 01

A written legal opinion from Israeli securities counsel

Covering the exemption route, what a website may lawfully show to whom, how offerees are counted across related vehicles, and where the boundary of licensable advice sits.

    Not done

  2. 02

A decided licensing or exemption route

Either operating strictly inside the private-placement exemption, or working with a licensed offering coordinator, or a prospectus. The route determines the product, not the other way round.

    Not done

  3. 03

An SPV, a trustee and a lawyer-supervised escrow account

Formed and appointed for each specific deal, so that participant money never sits with Habi and title is held where the documents say it is.

    Not done

  4. 04

Signed offering documents for the specific asset

Subscription terms, risk factors, fees, use of proceeds, exit mechanism and the shareholders' agreement. These, not this website, are the binding text.

    Not done

  5. 05

Regulated identity, screening and payment providers

Contracted and live, with risk-based onboarding, sanctions screening and an escalation path. Today every one of these integrations is mock or disabled.

    Not done

  6. 06

    Privacy, tax and accessibility sign-off

A counsel-approved retention schedule and impact assessment, a tax opinion covering the structure and the participant, and an external accessibility audit.

    Not done

The planned ownership structure, in plain words

This is how participation is designed to work once the gates above are cleared. It is a design, not a description of anything that exists. The binding version will always be the signed offering documents of each deal.

  1. 01

One property, one dedicated company. Every property would live in its own Israeli company, separated from every other deal and from Habi's own companies.

  2. 02

You would hold real shares. Participants receive shares of the property company, registered in their name — a percentage of a specific, named property, not units of a blind pool.

  3. 03

A trustee and an escrow account would guard the money. Participant funds move only through a lawyer-supervised escrow, and an external trustee oversees title and accounts. Habi would never hold your money directly.

  4. 04

Audited reporting, every year. Each property company files audited annual financials that participants can read — income, costs, fees and taxes, line by line.

  5. 05

Exit by shareholder decision. Sale of the property follows the shareholders' agreement — a defined target hold period and a defined decision mechanism, disclosed before you join.

What Habi is not

Not a bank deposit and not a bond. Participation is equity in real estate: value can go down as well as up, and capital is at risk.

Not a guaranteed-return product. Any return figure shown is an underwriting target and a fee hurdle — never a promise.

Not a stock-exchange product. Shares of a property company are not publicly traded; liquidity is limited and exits take time.

Not live. Habi is a private beta. No offering is open, no funds move, and no investment execution exists.

Jurisdiction, governing law and legal contact

Where this operates

Habi is built for Israel and its users are expected to be in Israel. The private beta and these pages are governed by Israeli law. A definitive governing-law and forum clause will be fixed with counsel and will live in the terms and in each deal's offering documents — not here.

If you are outside Israel

Nothing on this site is directed at you as an offer. Any future participation from abroad would be possible only where local securities law permits it, and local tax and reporting duties would be yours. EU visitors keep their GDPR rights over the data they give us.

Legal and privacy questions

Send legal, regulatory, privacy and data-rights questions through the contact page. They are logged, routed to the legal and compliance queue, and our target is a first response on the same business day.

Risk notice

  • Investing involves risk and returns are not guaranteed.
  • Property values may fall and rental income may be delayed.
  • Liquidity may be limited and is not guaranteed.
  • Forecasts and estimates are not reliable indicators of future results.
  • Investors should review all documents before investing.
  • This platform does not provide personal financial, tax, or legal advice.
  • Securities and legal structure must be approved by qualified Israeli counsel before launch.
This legal centre is product documentation written for readers, not a legal opinion, and it does not create a lawyer-client relationship. It does not replace advice from a licensed Israeli lawyer, and public launch requires exactly that. Where this page and a signed document disagree, the signed document wins.
